Please read these Terms of Service ("Terms," "Terms of Service") carefully before using the Quipz mobile application (the "Service") operated by Quipz ("us," "we," or "our").
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the Service.
1. Eligibility
You must be at least 13 years of age to use this Service. By using the Service, you represent and warrant that you are at least 13 years old. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.
2. Account Registration
When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party and to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
3. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:
- To generate, upload, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
- To generate content that infringes upon the intellectual property rights of others
- To generate content depicting minors in any inappropriate context
- To generate content that promotes violence, discrimination, or hatred against individuals or groups
- To impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
- To interfere with or disrupt the Service or servers or networks connected to the Service
- To attempt to gain unauthorized access to any portion of the Service or any other systems or networks
- To use the Service for any commercial purpose without our prior written consent
- To use automated means (bots, scrapers, etc.) to access the Service
4. AI-Generated Content
The Service uses artificial intelligence to generate images based on text prompts you provide. You acknowledge and agree that:
- AI-generated content may not always be accurate, appropriate, or suitable for your intended purpose
- You are solely responsible for reviewing and evaluating any content generated through the Service before use
- We do not guarantee that generated content will be free from errors, biases, or unintended outputs
- Generated content should not be used for any illegal or harmful purposes
- We reserve the right to refuse to generate content that violates these Terms or our content policies
5. Intellectual Property
Your Content: You retain ownership of the text prompts you submit. Subject to these Terms, you own the images generated through your use of the Service, provided that such images do not infringe on third-party rights.
Our Content: The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Quipz. The Service is protected by copyright, trademark, and other laws.
License to Us: By submitting content to the Service, including prompts and generated images shared publicly, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and improving the Service.
6. User-Generated Content
If you choose to share your generated images publicly through the Explore feature or other sharing mechanisms:
- You grant other users a license to view your shared content
- You represent that you have the right to share such content
- You understand that shared content may be visible to other users of the Service
- We may remove any content that violates these Terms without notice
7. Subscription and Payments
Some features of the Service may require payment. If you purchase a subscription or make in-app purchases:
- You agree to pay all fees associated with your selected plan or purchase
- Subscription fees are billed in advance on a recurring basis
- You may cancel your subscription at any time through your app store account settings
- Refunds are handled according to the policies of the applicable app store (Apple App Store or Google Play)
- We reserve the right to change our pricing with reasonable notice
8. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or delete your account through the app settings.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
We do not warrant that (a) the Service will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUIPZ, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of or inability to access or use the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE PAST TWELVE (12) MONTHS.
11. Indemnification
You agree to defend, indemnify, and hold harmless Quipz and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney fees and costs, arising out of or in any way connected with:
- Your access to or use of the Service
- Your violation of these Terms
- Your violation of any third-party right, including any intellectual property or privacy right
- Any content you create, submit, or share through the Service
12. Governing Law
These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
13. Dispute Resolution
Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiations. If such negotiations fail, any controversy or claim shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association.
14. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
15. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
16. Entire Agreement
These Terms constitute the entire agreement between you and Quipz regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
